1. AGREEMENT TO TERMS

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” “your”) and 3 Worx IT and Media Solutions (Pty) LTD (“Company,” “we,” “us,” “our”), governing your access to and use of the One Simple Social platform, website, dashboard, mobile interface, and any related services (collectively, “the Platform”).

By using or accessing the Platform, you agree that you have read, understood, and accepted these Terms. If you do not agree, you must stop using the Platform immediately.

If you are entering into these Terms on behalf of a business, you represent that you are authorized to bind that business to this agreement.


2. ELIGIBILITY

You must meet all the following requirements to use the Platform:

  1. Be at least 18 years old (or the legal age of majority in your region).

  2. Have the legal authority to form a binding contract.

  3. Use the Platform only for lawful purposes and in compliance with applicable local, national, and international laws.

The Platform is not designed for or directed to children under 13 years of age.


3. ACCOUNT REGISTRATION

To access most features, you must create an account and provide accurate, complete information. You agree to:

  • Keep login credentials confidential;

  • Not share or transfer your account to any other person or entity;

  • Notify us immediately of any unauthorized use or suspected breach.

We reserve the right to suspend or terminate accounts for violations of these Terms.


4. SERVICES PROVIDED

One Simple Social provides tools for:

  • Scheduling, publishing, and managing content on social media platforms;

  • Connecting and integrating third-party social media accounts;

  • Viewing analytics and performance insights;

  • Team collaboration and workflow management;

  • Automation, AI-powered content suggestions, and post optimization.

The Platform may update, add, or remove features at any time.


5. THIRD-PARTY SERVICES AND SOCIAL NETWORK INTEGRATIONS

When you connect your social media accounts (e.g., Facebook, Instagram, Google, YouTube, TikTok, Twitter/X, LinkedIn):

  • You authorize us to access the data permitted by each platform’s API;

  • You acknowledge that use of each network is also governed by its own terms;

  • You may revoke access at any time through the social network’s settings.

We are not responsible for disruptions caused by third-party APIs, changes to their policies, or outages.

The Platform complies with all applicable partner policies required for OAuth, app verification, and data handling.


6. SUBSCRIPTIONS, BILLING & PAYMENTS

6.1 Payment Terms

Paid plans require a valid payment method. By subscribing, you authorize automatic recurring charges until you cancel.

6.2 Trials & Promotions

Trial periods may be offered. If you do not cancel before the trial ends, your chosen subscription will auto-renew.

6.3 Refund Policy

Unless otherwise required by law, all subscription fees are non-refundable. A refund may be granted at our discretion in special cases such as technical inability to use the Platform.

6.4 Price Changes

We may change pricing at any time, with notice provided through your account email or the Platform.


7. USER CONTENT

“User Content” includes posts, images, videos, captions, data, or any materials uploaded or created via the Platform.

You retain ownership of your User Content. However, by using the Platform, you grant us a non-exclusive, worldwide license to:

  • Store, transmit, process, and display your content;

  • Perform necessary technical operations (e.g., resizing, converting formats, scheduling);

  • Share content to connected social networks per your instructions.

You represent and warrant that:

  • You own or have permission to use all User Content;

  • Your content does not violate any laws, rights, or platform rules;

  • Your use will not cause harm, liability, or reputational damage to the Platform.


8. PROHIBITED CONDUCT

Users may NOT:

  1. Use the Platform for unlawful, harmful, fraudulent, or deceptive purposes;

  2. Violate intellectual property rights;

  3. Upload malware, harmful code, or attempt to disrupt infrastructure;

  4. Misuse external integrations or attempt to manipulate third-party APIs;

  5. Use the Platform to harass, threaten, or abuse others;

  6. Share login credentials or circumvent security measures;

  7. Use the Platform for extreme political, violent, or harmful misinformation campaigns;

  8. Use unauthorized bots or scraping tools.

Violation may result in immediate suspension or termination.


9. INTELLECTUAL PROPERTY RIGHTS

All rights, titles, features, codebases, interfaces, and underlying technology within One Simple Social remain the property of 3 Worx IT and Media Solutions (Pty) LTD or its licensors.

You may not:

  • Copy, distribute, modify, or create derivative works;

  • Reverse engineer, decompile, or bypass Platform protections;

  • Use branding or trademarks without written permission.


10. DATA PRIVACY & SECURITY

Your use of the Platform is governed by our Privacy Policy, which forms part of these Terms. The Privacy Policy explains:

  • What data we collect,

  • How we use it,

  • How we store and protect it,

  • Your rights under global regulations (GDPR, POPIA, CCPA, etc.).

You must ensure that your own handling of client or team data also complies with applicable laws.


11. SERVICE AVAILABILITY

We aim for high uptime but do not guarantee that the Platform will be:

  • Uninterrupted,

  • Error-free,

  • Secure at all times,

  • Compatible with every device or browser.

We may temporarily suspend service for maintenance, updates, or unforeseen issues.


12. TERMINATION

We may suspend or terminate your account immediately if you:

  • Violate these Terms,

  • Misuse integrations or APIs,

  • Engage in illegal activity,

  • Fail to pay subscription fees,

  • Harm or attempt to compromise Platform infrastructure.

Upon termination:

  • You lose access to your account;

  • Some or all data may be deleted after required retention periods;

  • You will not be entitled to refunds unless required by law.

You may also close your account at any time by contacting support.


13. DISCLAIMERS

The Platform is provided “as is” and “as available” without warranties of any kind, including:

  • Accuracy of analytics or recommendations,

  • Availability or functionality of third-party APIs,

  • Fit for a particular purpose.

We are not liable for social network outages or changes that disrupt your posting schedule.


14. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, data, or business opportunities.

  • Our maximum aggregate liability for any claim is the amount paid by you in the previous 12 months, or $50 if no subscription fees were paid.

Some jurisdictions do not allow limitations on liability; where prohibited, the minimum legal protection applies.


15. INDEMNIFICATION

You agree to indemnify and hold harmless 3 Worx IT and Media Solutions (Pty) LTD, its directors, employees, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:

  • Your misuse of the Platform,

  • Your User Content,

  • Violations of these Terms,

  • Violations of third-party rights,

  • Illegal or unauthorized use of connected social accounts.


16. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of South Africa, without regard to conflict-of-law principles.

Disputes must first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration or a court of competent jurisdiction in South Africa.


17. CHANGES TO TERMS

We may modify these Terms from time to time. Updates will be posted on our website with a new “Last Updated” date.

Continued use of the Platform constitutes acceptance of updated Terms.
